Corporate Paralegal

Job Summary:
The Corporate Paralegal, is responsible for providing paralegal support to global M&A transactions, joint ventures and other strategic investments and transactions. This position is responsible for supporting the legal team on critical M&A activities, including legal due diligence, document preparation and organization and closing. The Corporate Paralegal, M&A serves as a critical point of contact for cross-functional M&A team members involved in due diligence and M&A execution.  This position reports to the VP, Legal (M&A), but works closely with our legal team, corporate development team and broader M&A deal teams.

What You'll Do:

  • Assist with review and preparation of various legal documents; catalog, file and organize legal documents.

  • Perform due diligence and research; prepare due diligence reports; prepare and maintain legal due diligence tracker; effective communication of due diligence findings and status; collaboration with other due diligence team members.

  • Assist with closing duties, including collecting and circulating documents for review and signature and coordination with treasury and other relevant teams.

  • Support post-closing efforts; prepare organizational and governance documents; prepare corporate filings and work with members of Legal leadership, attorneys and staff on departmental matters..

  • Review disclosure schedules and support review by the broader deal team and assist with representations and warranties insurance processes..

  • Monitoring deal progress to confirm that internal deadlines are met and internal policies are complied with; managing closing checklists.

  • Maintaining database of, and record retention for, all pending and completed transactions and NDAs.

  • Assist in other substantive legal areas as needed, including support of Corporate Secretary initiatives.

Experience and Skills: 

  • Bachelor’s Degree from four-year college or university, paralegal certificate and 5+ years prior related paralegal experience (including M&A experience); or equivalent combination of education and experience.

  • Detail oriented, with excellent analytical and organizational skills.  

  • Ability to stay composed under pressure in a fast-paced, demanding environment.  Ability to initiate, prioritize and manage multiple projects simultaneously, meet and anticipate frequent deadlines in a timely manner, and manage projects from start to finish. 

  • High level of proficiency in relevant technology, including Google and Microsoft Office tools.
