Assistant General Counsel

Job Summary: 

 The Assistant General Counsel ­ Procurement and Technology position will be a key member of a legal group that includes support for enterprise-wide vendor and sourcing matters, new product initiatives, and developing innovative customer solutions.  The Assistant General Counsel position will be one of the primary attorneys negotiating and documenting software acquisition, data acquisition, third party alliance agreements, software acquisition and licensing, vendor and procurement agreements and global business process outsourcing agreements from the company’s US Information Services business unit, Global Sourcing & Real Estate team, Software Acquisition team and other company business units, while providing a key role in supporting various US legal department objectives.  The successful candidate will have strong drafting, communication and collaboration skills.

What You’ll Do: 

  •  Manage data acquisition and vendor transactions for the company’s US Information Services business unit to support product development and customer growth, and enhance the company’s unique data assets.

  • Draft and negotiate third party alliance agreements, including technology connectors, customer service providers and processors that enable customers to utilize the company’s unique products and services.

  • Manage business process outsourcing and supply chain transactions related to procurement of products and services from vendors and suppliers, while advising on a broad range of commercial and corporate issues for an innovative data and technology company.

  • Draft and negotiate software licensing and SaaS agreements for use by Equifax in internal processes and incorporated into products and services provided to third parties.

  • Serve as one of the primary lawyers for the global sourcing and software acquisition teams, responsible for assessing legal risk and providing creative commercial solutions to support business objectives in a manner that also supports the company’s policies.

  • Partner with subject matter experts from across the enterprise, including operations, security, data governance and finance.

  • Serve as legal liaison between the data acquisition, global sourcing and software teams and the US Information Services business unit, as well as other company businesses, providing proactive, pragmatic legal and strategic advice.

  • Provide training to the various procurement and software teams on legal policies and procedures and contribute to cross-functional or departmental projects and objectives with other members of the legal team. 


Qualifications:

  • Law degree from ABA accredited law school and membership in good standing of any state bar; State Bar of Georgia is preferred.

  • Minimum of seven years of relevant experience, preferably at a large law firm and/or corporate legal department.

  • Experience drafting and negotiating complex commercial agreements, including vendor agreements, SaaS agreements, business process outsourcing matters, customer agreements and a general understanding of commercial transactions.

  • Experience handling software licensing transactions and complex services arrangements required.

  • Ability to translate business requirements into contractual language, assess legal risk and work with vendors and company stakeholders to resolve significant issues and find creative solutions.
